Objectives

To develop a sound knowledge of the approaches and mechanisms that enables an organization to be self-financing under optimum cost-effective and timely conditions. To learn how to plan and prepare finance operations in order to dispose of funds needed at a given moment, at the least cost. To understand the main taxation and legislative provisions respecting financing. To understand the nature and financial impact of the principal legal and tax clauses of finance contracts. To learn how to work with lawyers, bankers, notaries and accountants on finance projects.

Sources of corporate financing and their main characteristics: credit margin and other short-term financing sources, term loans and other medium-term financing sources, bonds and debentures, venture capital, first public issue, subsequent issue of common or preferred shares, hybrid securities, financing of foreign operations, international financial markets. Government funding practices and methods. Project financing. Assessment of rates of return required by financial markets. Financial risk hedging instruments: swap agreements, interest and exchange rate agreements, options, term contracts. Determination of financing policies. Determination of most appropriate maturity dates and issue dates. Preparation of financing applications and supporting documents. Modes and types of collateral required from businesses seeking financing: real property mortgages, personal property mortgages, trust deeds, bonds. Collateral and the Bank Act. Preparation of finance contracts: perspectives of businesses and financial institutions. Assessment of finance contract clauses. Negotiation of finance applications, including terms, conditions and collateral.
